完成本服务的登记程序之后，您将取得一个特定之密码及会员帐号，维持密码及帐号之机密安全，是您的责任，任何依照规定方法输入会员帐号及密码与登入资料一 致时，无论是否由本人亲自输入，均将视为会员本人所使用。利用该密码及帐号所进行的一切行动，您将负完全的责任。您并同意以下事项：

• 您的密码或帐号遭到盗用或有其他任何安全问题发生时，您将立即通知大有公司 。
• 每次连线完毕，均结束您的帐号使用。
• 您的帐号、密码及会员权益均仅供您个人使用及享有，不得转借、转让他人或与他人合用。
• 帐号及密码遭盗用、不当使用或其他大有公司无法辩识是否为本人亲自使用之情况时，大有公司对此所致之损害，概不负责。

5. 儿童及青少年之保护

为确保儿童及青少年使用网路的安全，并避免隐私权受到侵犯，家长（或监护人）应尽到下列义务：未满十二岁之儿童使用本服务时，应全程在旁陪伴，十二岁以上未满十八岁之青少年使用本服务前亦应斟酌是否给予同意。

6. 使用者的守法义务及承诺

您承诺绝不为任何非法目的或以任何非法方式使用本服务，并承诺遵守马来西亚相关法规及一切使用网际网路之国际惯例。您同意并保证不得利用本服务从事侵害他人权益或违法之行为，包括但不限于：

• 违反依法律或契约所应负之保密义务
• 冒用他人名义使用本服务
• 传输或散布电脑病毒
• 从事未经大有公司事前授权的商业行为
• 刊载、传输、发送垃圾邮件、连锁信、违法或未经社许可之多层次传销讯息及广告等；或储存任何侵害他人智慧财产权或违反法令之资料
• 对本服务其他用户或第三人产生困扰、不悦或违反一般网路礼节致生反感之行为
• 其他不符本服务所提供的使用目的之行为或大有公司有正当理由认为不适当之行为
• 不诚实使用或盗取不属于其账号的任何资料或资金等，均构成违约行为，需负责偿还所有相关款项，并承担相应的法律责任。 

7. 大有公司得依实际执行情形，增加、修改或终止相关活动，并选择最适方式告知会员。

8. 于发生下列情形之一时，大有公司有权可以停止、中断提供本服务：

• 有店网站电子通信设备进行必要之保养及施工时
• 发生突发性之电子通信设备故障时
• 有店网站申请之电子通信服务被停止，无法提供服务时
• 由于天灾等不可抗力之因素或其他不可归责于大有公司致使有店网站无法提供服务时

9. 交易行为

您同意使用本服务订购产品时，于有店通知确认交易成立前，大有公司仍保有不接受订单或取消出货之权利。您向有店发出订购通知后，系统将自动发出接受通知，但此通知并非订单确认通知，关于交易成立与否将另行告知。

您若于使用本服务订购产品后倘任意退换货、取消订单、或有任何大有公司认为不适当而造成大有公司作业上之困扰或损害之行为，大有公司均可视情况采取拒绝交易或永久取消会员资格办理。若您订购之产品若属于以下情形：（１）预购类商品（２）商品页显示无库存（３）须向供应商调货（４）转由厂商出货，因商品交易特性之故，倘商品缺绝、或厂商因故无法顺利供货之情况下，您同意大有公司得视情况取消或修改交易（订单）内容、或延迟交货时间，并选择以最适方式告知。

10. 责任之限制与排除

您使用本服务浏览到的所有广告内容、文字与图片之说明、展示样品或其他销售资讯，均由各该广告商、产品与服务的供应商所设计与提出。您对于广告之正确性与可信度应自行斟酌与判断。大有公司仅接受委托予以刊登，不对前述广告负担保责任。本服务所提供之各项功能，均依该功能当时之现况提供使用，大有公司对于其效能、速度、完整性、可靠性、安全性、正确性等，皆不负担任何明示或默示之担保责任。大有公司并不保证本服务之网页、伺服器、网域等所传送的电子邮件或其内容不会含有电脑病毒等有害物；亦不保证邮件、档案或资料之传输储存均正确无误不会断线和出错等，因各该邮件、档案或资料传送或储存失败、遗失或错误等所致之损害，大有公司不负赔偿责任。您同意于使用本服务过程中所有资料记录，均以大有公司资料库所储存之电子资料为准，如有纠纷或诉讼，并以该电子资料为认定标准。

11. 智慧财产权的保护

大有公司所使用之软体或程式、网站上所有内容，包括但不限于著作、图片、档案、资讯、资料、网站架构、网站画面的安排、网页设计，均由大有公司或其他权利人依法拥有其智慧财产权，包括但不限于商标权、专利权、著作权、营业秘密与专有技术等。任何人不得迳自使用、修改、重制、公开播送、改作、散布、发行、公开发表、进行还原工程、解编或反向组译。若您欲引用或转载前述软体、程式或网站内容，必须依法取得大有公司或其他权利人的事前书面同意。尊重智慧财产权是您应尽的义务，如有违反，您应对大有公司负损害赔偿责任（包括但不限于诉讼费用及律师费用等）。

在尊重他人智慧财产权之原则下，会员同意在使用有店之服务时，不作侵害他人智慧财产权之行为。

若会员有涉及重覆侵权之情事大有公司可暂停全部或部份之服务，或迳自以取消会员帐号之方式处理。

若有发现智慧财产权遭侵害之情事，请将所遭侵权之情形及联络方式，并附具真实陈述及拥有合法智慧财产权之声明，并以下列方式联络大有公司：

12. 您对有店及大有公司的授权

对于会员所登录或留存之个人资料，会员同意有店网站得于合理之范围内搜集、处理、保存、传递及使用该等资料，以提供使用者其他资讯或服务、或作成会员统 计资料、或进行关于网路行为之调查或研究，或为任何之合法使用。若您无合法权利得授权他人使用、修改、重制、公开播送、改作、散布、发行、公开发表某资料，并将前述权利转授权第三人，请勿擅自将该资料上载、传送、输入或提供至大有公司。任何资料一经您上载、传送、输入或提供至大有公司时，视为您已允许大有公司无条件使用、修改、重制、公开播送、改作、散布、发 行、公开发表该 等资料，并得将前述权利转授权他人，您对此绝无异议。您并应保证大有公司使用、修改、重制、公开播送、改作、散布、发行、公开发表、转授权该等资料，不 致侵 害任何第三人之智慧财产权，否则应对大有公司负损害赔偿责任（包括但不限于诉讼费用及律师费用等）。

13. 特别授权事项

因使用本服务所提供之网路交易或活动，可能须透过货运业者始能完成货品(或赠品等)之配送或取回，因此，您同意并授权大有公司得视该次网路交易或活动 之需求及目的，将由您所提供且为配送所必要之个人资料(如收件人姓名、配送地址、连络电话等)，提供予货运业者，以利完成该次货品(或赠品等)之配送、取回。

14. 拒绝或终止您的使用

您同意大有公司得基于维护交易安全之考量，因任何理由，包含但不限于缺乏使用，或违反本服务条款的明文规定及精神，终止您的密码、帐号（或其 任何部分）或本 服务之使用，并将本服务内任何“会员内容”加以移除并删除，亦得已通知之情形下，随时终止本服务或任何部分。此外，您同意若本服务之使用被终止，大有公司对您或任何第三人均不承担责任。

15. 准据法与管辖法院

本约定书之解释与适用，以及与本约定书有关的争议，均应依照马来西法律予以处理。
